Time & Materials Model: Services are billed based on actual time spent and materials used. Billing rates are provided in the engagement letter and are subject to annual review.

• Transparent time tracking and invoicing
• Flexible team scaling based on project requirements
• Monthly invoicing with detailed time and deliverable breakdowns

Lumino AI serves the following regions with dedicated support:

• USA - Enterprise client focus with ITAR and compliance support
• Middle East - Regional expansion and localization services
• UAE - Financial and technology hub services with local compliance
• India - Core operations center and delivery hub

• Invoices issued monthly for T&M services rendered
• Payment terms: Net 30 days from invoice date
• Accepted payment methods: Bank transfer, wire transfer, credit arrangements (upon approval)
• Late payments may incur interest at 1.5% per month
• All invoices must be paid in full to continue service delivery

Custom work developed under T&M engagement for your specific project becomes your property upon full payment. Pre-existing tools, frameworks, and methodologies used remain the property of Lumino AI or their respective owners.

Both parties agree to maintain confidentiality of sensitive business information. Lumino AI will not disclose your project details, source code, or business information without written consent except where required by law.

We warrant that services will be performed professionally in accordance with industry standards. We provide a 30-day period to identify defects in deliverables. Subsequent defect claims may be subject to additional fees.

Post-delivery support, maintenance, and enhancements can be provided under separate T&M engagement or fixed service agreements. Support terms will be specified in the service agreement.

• Either party may terminate engagement with 30 days written notice
• Client remains responsible for all services rendered through termination date
• Upon termination, all deliverables completed will be transferred to the client

Except for breaches of confidentiality, neither party shall be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the fees paid in the preceding 12 months.

Services comply with applicable laws and regulations in USA, Middle East, UAE, and India. Clients are responsible for ensuring their use of services complies with local laws.

Disputes shall first be addressed through good-faith negotiation. If unresolved, disputes shall be governed by the laws of the client's jurisdiction and subject to arbitration or litigation as applicable in that region.

We may update these terms as needed. Continued service engagement constitutes acceptance of updated terms. Material changes will be communicated in advance.
